Item 8.01 Other Events.

 

On November 28, 2018, Norwegian Cruise Line Holdings Ltd. (the “Company”) issued a press release announcing a secondary public offering (the “Offering”) of its ordinary shares by certain selling shareholders affiliated with Apollo Global Management, LLC and Genting Hong Kong Limited (the “Selling Shareholders”) and concurrent share repurchase of its ordinary shares from the underwriter. The concurrent share repurchase is part of the Company's existing $1.0 billion share repurchase program. After giving effect to the concurrent share repurchase, the Company will have approximately $598.7 million remaining authorization to repurchase its ordinary shares under its share repurchase program. Following the completion of this Offering, the Selling Shareholders will not beneficially own any ordinary shares of the Company. The press release is attached hereto as Exhibit 99.1 and is incorporated in this Item 8.01 by reference.

Norwegian Cruise Line Holdings Ltd. Announces Launch of Secondary Public Offering by Selling Shareholders

 

MIAMI, November 28, 2018 — Norwegian Cruise Line Holdings Ltd. (NYSE:NCLH) (“Norwegian”) announced today the launch of a secondary public offering of 18,877,089 of its ordinary shares by certain funds affiliated with Apollo Global Management, LLC and Star NCLC Holdings Ltd. (together, the “Selling Shareholders”) pursuant to an automatic shelf registration statement on Form S-3 filed with the U.S. Securities and Exchange Commission (the “SEC”). Norwegian will not sell any ordinary shares in the offering and will not receive any of the proceeds from the offering.

 

Morgan Stanley is acting as the sole underwriter for the offering (the “Underwriter”).

 

Concurrently with and subject to completion of the offering, Norwegian has agreed to repurchase from the Underwriter ordinary shares that are being sold by the Selling Shareholders in the offering having an aggregate purchase price of approximately $85.0 million at a price per share equal to the price per share to be paid by the Underwriter to the Selling Shareholders. The share repurchase is part of Norwegian’s existing $1.0 billion share repurchase program.
